IPCC Shareholders AGM Outcomes: Dividends Up, New Faces at the Top

The Annual General Meeting of Shareholders (AGM) of public listed car terminal operator PT Indonesia Kendaraan Terminal Tbk (IDX: IPCC) early this week decided two strategic outcomes: distributing 80% of 2024 net profit as dividends and reshuffle of Board of Commissioners.

The AGM approved the allocation of IDR212.22 billion in net profit for the 2024 fiscal year. From that, IDR169.77 billion, or approximately IDR93.36 per share, will be distributed to shareholders as dividends.

This includes an interim dividend of IDR44.41 billion disbursed at the end of 2024, with the remaining IDR125.36 billion to be paid out as a final dividend in the coming weeks.

Wing Megantoro, Director of Finance, HR, and Risk Management, highlighted the company’s commitment to delivering value to its investors.

“Our 80% dividend payout ratio reflects IPCC’s appreciation to shareholders for their ongoing trust and support,” he said.

“It also reflects our adherence to strong corporate governance and our pursuit of transparency in managing stakeholder relations.”

IPCC’s governance practices have also received external recognition. The company recently earned an “Excellent” rating in the ASEAN Corporate Governance Scorecard (ACGS), with a score of 110.52 points, reinforcing its commitment to transparency and accountability.

Growth and Operational Expansion

President Director Sugeng Mulyadi emphasized that 2024 marked another year of steady growth for IPCC. The company’s earnings before interest, tax, depreciation, and amortization (EBITDA) climbed to IDR368.79 billion, up 2.74% year-on-year.

This was largely driven by operational gains, including a 7.49% increase in consolidated Completely Built-Up (CBU) vehicle cargo, which reached 850,870 units.

Mulyadi noted that IPCC is expanding its operational reach and service capabilities, most notably through the management of the RoRo Terminal in Banjarmasin and the implementation of advanced operating systems.

“We are committed to providing seamless, high-value service through innovation and integration, and these efforts will enhance national connectivity,” he said.

Director of Operations and Engineering, Bagus Dwipoyono, reiterated IPCC’s vision to become a world-class national vehicle terminal operator.

“With the spirit of Beyond The Gate, we aim to provide end-to-end logistics services, from port to inland, contributing meaningfully to Indonesia’s economic sustainability,” he explained.

Board of Commissioners Reshuffle

While the Board of Directors remains unchanged, IPCC introduced a complete refresh of its Board of Commissioners as part of its AGM resolutions.

New appointments include:

  • President Commissioner: M. Said Bakhri, replacing Drajat Sulistyo
  • Independent Commissioner: Herry Ardianto, replacing Abdur Rahim Hasan
  • Independent Commissioner: Tri Hidayat, replacing LM. Arya Bima Yudiantara

The Board of Directors continues to be led by President Director Sugeng Mulyadi, with Bagus Dwipoyono as Director of Operations and Engineering, and Wing Megantoro as Director of Finance, HR, and Risk Management.
